Company & LLP Compliances

Stay Compliant, Avoid Penalties

Registering a company or LLP is quick; keeping it compliant year after year is where most businesses slip. The Registrar of Companies levies additional fees for every day a form is late, and repeated defaults can lead to directors being disqualified or the company being struck off. We maintain a compliance calendar for each client and handle the filings, so nothing is missed.

Here is an overview of the main obligations we manage for companies, LLPs and partnership firms.

Private Limited Company Compliances

A private limited company has to meet requirements under the Companies Act, income tax law and several other regulations, whether or not it has started business or earned any revenue.

1. Annual Compliances under the Companies Act, 2013
  • Appointment of the statutory auditor (ADT-1) and audit of annual financial statements
  • Holding board meetings and the Annual General Meeting within prescribed timelines
  • Filing financial statements in AOC-4 and the annual return in MGT-7/7A
  • Director KYC (DIR-3 KYC) and disclosures of interest by directors
  • Periodic forms such as DPT-3 and MSME-1, where applicable
2. Event-Based Compliances:
  • Appointment, resignation or change in designation of directors
  • Increase in authorised capital, allotment or transfer of shares
  • Change in registered office, company name or objects clause
3. Income Tax Compliances
  • Advance tax payments during the year
  • Tax audit, where turnover crosses the prescribed limit
  • Filing of the annual income tax return by the due date
  • Quarterly TDS returns and issue of TDS certificates
4. Other Regulatory Compliances:
  • GST returns, state professional tax, and PF/ESI where applicable
  • FEMA reporting for companies with foreign investment or overseas transactions
Annual Compliances for LLPs
  • Form 11 (Annual Return): details of partners and contributions, filed every year, typically by 30 May.
  • Form 8 (Statement of Accounts & Solvency): filed every year, typically by 30 October, along with the income tax return and audit where applicable.
Changes in Partners or Contribution in an LLP

Admission or retirement of a partner, or a change in capital contribution, must be reported to the Registrar through the prescribed forms within the time allowed, together with an updated LLP agreement. We prepare the documents, obtain signatures and complete the filings.

Changes in a Registered Partnership Firm

When a registered partnership firm changes its partners, name, place of business or other particulars, the change must be intimated to the state Registrar of Firms. We draft the supplementary deed and handle the filing on your behalf.

  • Registration of a new partnership firm
  • Admission or retirement of partners
  • Change in the firm name or principal place of business
  • Opening or closing of branches
  • Change in partners' names or addresses
  • Dissolution of the firm
  • Conversion of a partnership firm into an LLP or company
Amending the LLP Agreement

The LLP agreement governs profit sharing, capital, decision-making and partner rights. Whenever these terms change, the agreement needs a proper supplementary deed, stamp duty payment and filing with the Registrar within the prescribed time. Getting this right avoids disputes between partners later.
